This Master Services Agreement (this “Agreement”) governs the access and use of one or more services (as defined in Section 1 below) purchased from Psycademy, operated under ManoYug Well-being And Education Ventures Private Limited ("Company"). By accepting this Agreement or by using the services, the customer acknowledges having read, understood, and agreed to this Agreement.
1. Definitions
As used in this Agreement, the following terms have the meaning set forth below:
- “Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with a party to this Agreement.
- “Customer” means the party entering into this Agreement and/or an Order Form with Psycademy.
- “Fees” means the amounts payable by the Customer to Psycademy for access to the Services.
- “Order Form” means the ordering document mutually executed by Psycademy and the Customer specifying the services purchased, fees payable, subscription period, and other relevant details.
- “Personal Data” means any data submitted into the Services relating to an identifiable person, as protected under Indian data protection laws.
- “Services” means the online learning platform and related services provided by Psycademy as outlined in the Order Form.
- “Subscription Period” means the term agreed upon as detailed in the Order Form.
- “Users” means employees, contractors, or other authorized individuals who access and use the Services under this Agreement.
2. Provision of Services
Psycademy agrees to provide the Services to the Customer as per this Agreement and the terms specified in an Order Form. Affiliates wishing to access the Services must enter into separate agreements.
3. Terms of Use
Customers shall not:
- Use the Services for unlawful purposes.
- Copy, modify, resell, or distribute the Services without authorization.
- Submit infringing, offensive, or inappropriate content.
- Circumvent or attempt to bypass security features.
- Share login credentials among multiple individuals.
4. Violations and Consequences
If Psycademy determines that a Customer has violated the Terms of Use, it may suspend or terminate access to the Services. Customers will be notified of any violations and given 10 days to rectify the issue before enforcement actions are taken.
5. Fees and Payments
- Customers agree to pay Fees as per the Order Form.
- Payments must be made in Indian Rupees (INR) unless otherwise specified.
- Late payments may incur an interest charge of 1.5% per month or the maximum interest permitted by law.
6. Taxes
All applicable taxes, including GST, shall be borne by the Customer, except for taxes imposed on Psycademy’s income.
7. Confidentiality
Each party agrees to protect the other’s confidential information. Confidential Information does not include publicly available information or information obtained through lawful means.
8. Processing of Personal Data
Customers acknowledge that Psycademy may process personal data as required to provide the Services. Customers are responsible for ensuring compliance with Indian data protection laws.
9. Term and Termination
- This Agreement remains in effect until all active Order Forms have expired or been terminated.
- Either party may terminate this Agreement for material breach upon 30 days' written notice.
- Refunds for pre-paid but unused services shall be provided only in cases of termination due to Psycademy’s material breach.
10. Warranties and Disclaimers
Psycademy provides the Services "as-is" without warranties of any kind, including implied warranties of merchantability, accuracy, or fitness for a particular purpose.
11. Limitation of Liability
Neither party will be liable for indirect, incidental, or consequential damages. Psycademy’s total liability shall not exceed the total Fees paid by the Customer in the preceding 12 months.
12. Indemnification
- Psycademy will defend and indemnify the Customer against claims that the Services infringe third-party intellectual property rights.
- The Customer will indemnify Psycademy for violations of this Agreement by its Users.
13. Governing Law and Dispute Resolution
- This Agreement shall be governed by the laws of India.
- Disputes shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996, with arbitration held in Delhi, India.
